These Terms of Use (“Terms”) govern your access to and use of Chrysalis products, services, and websites (“Services”). By using Chrysalis, you agree to these Terms.
1. Acceptance of Terms
By accessing or using Chrysalis Services, you confirm that you:
Accept and agree to these Terms
Will comply with all applicable laws
Will provide accurate information when creating an account or interacting with Chrysalis
If you do not agree, you may not use the Services.
Definitions
“Vault”: The encrypted, user-controlled storage space where identity context, reflections, and other personal data are held. Chrysalis cannot access Vault contents.
“Identity Context”: User-generated personal meaning, preferences, or reflective content stored in the Vault.
“Encrypted Content”: Any data stored in a form that Chrysalis cannot view without explicit user permission.
“Partner-Integrated Tools”: Experiences provided by an enterprise or program using Chrysalis technology.
“Subprocessor”: A third party engaged by Chrysalis to support hosting, security, analytics, or operations.
“Personal Data”: Any information relating to an identified or identifiable individual.
“User” or “You”: Any individual accessing or using Chrysalis services.
2. Who May Use Chrysalis
You must be legally able to form a binding contract and meet the minimum age required by your region’s laws.
In most regions this means:
Under 13 in the United States (COPPA)
Under 16 in the European Union (GDPR) unless a member state sets a lower age (never below 13)
If we learn we have processed information from someone under the applicable age without appropriate consent, we will take steps to delete it.
3. Services We Provide
Chrysalis provides identity, consent, and experience technology, including:
Chrysalis Key
Adaptive Journeys and partner-integrated tools
Chrysalis Vault (identity storage)
Developer tools and APIs
This Terms section applies to all current and future Chrysalis offerings unless a specific product or enterprise agreement includes its own terms.
Depending on the contracting structure, Chrysalis may act as a Processor or Sub-Processor when providing certain services.
Nothing in these Terms overrides the data-protection obligations in any applicable Data Processing Agreement (DPA) with a Controller or Processor.
3A. Data Roles
Chrysalis provides identity, consent, and experience infrastructure and does not determine the purposes for which personal data is processed.
Depending on the contracting structure, Chrysalis may operate as:
A Processor directly for a Controller (for example, an enterprise or financial institution), or
A Sub-Processor engaged by an authorized Processor.
In both roles, Chrysalis processes personal data solely on documented instructions and does not use or access such data for independent purposes. Any applicable Data Processing Agreement (DPA) between the Controller, Processor, and Chrysalis governs the specific obligations of each party.
4. User Responsibilities
When using Chrysalis, you agree that you will not:
Access or attempt to access systems without authorization
Reverse-engineer, decompile, or tamper with the Services
Upload malware, harmful code, or attempt to disrupt the Services
Misuse or attempt to access data belonging to others
You are responsible for ensuring that your use of Chrysalis complies with all applicable privacy and data-protection laws, including identifying the correct legal basis for any data you process through Chrysalis.
When Chrysalis operates as a Processor or Sub-Processor, you represent that you have obtained all required consents and authorizations from the individuals whose data you submit.
5. Intellectual Property
All Chrysalis trademarks, branding, software, and materials are owned by Chrysalis AE Inc. You may not copy, modify, distribute, or create derivative works without written permission.
6. Subscriptions, Billing & Payment (If Applicable)
If you purchase paid Services, additional terms may apply, including:
Subscription details and billing cycles
Automatic renewal terms
Refund policies
Late payment provisions
These details will be specified in the applicable purchase flow, order form, or agreement.
7. Third-Party Services
Some Chrysalis features may integrate with third-party tools or services.
We are not responsible for:
The terms, privacy practices, or policies of third-party services
Content, features, or actions of third-party providers
When interacting with any third-party integration, you should review their terms and privacy notices.
In certain enterprise deployments, a partner organization may act as a Processor and Chrysalis may act as a Sub-Processor.
In such cases, the partner is responsible for providing appropriate notices, consents, and legal authorizations on behalf of the Controller.
8. Termination
We may suspend or terminate your access if you violate these Terms or use the Services in a way that threatens security, integrity, or lawful use.
You may stop using Chrysalis and request account closure at any time.
If you end your account:
Some information may remain stored as required by law
Access to your account and certain features will end
Any paid fees already collected are generally non-refundable, unless required by law
Specific retention timelines will be defined in our Privacy Policy.
When an account is terminated, Chrysalis will follow the data-deletion or retention requirements defined in the applicable DPA or enterprise agreement.
If Chrysalis is acting as a Sub-Processor, deletion timelines and procedures follow the instructions of the primary Processor.
9. Disclaimers
The Services are provided “as is” and without warranties of any kind.
This includes (to the extent allowed by law):
No warranty of uninterrupted or error-free operation
No guarantee that the Services will meet your expectations or produce specific outcomes
No implied warranties of merchantability, fitness for purpose, or non-infringement
Any legally required warranties are provided to the minimum extent permitted.
Additional Disclaimers
Chrysalis is not responsible for delays, interruptions, or failures caused by events outside our reasonable control, including internet outages, force majeure events, or third-party service disruptions.
10. Limitation of Liability
To the fullest extent allowed by law, Chrysalis is not liable for:
Indirect, incidental, special, punitive, or consequential damages
Loss of data, profit, goodwill, business, or anticipated savings
Where liability cannot be excluded, it will be limited to the amount you paid for Chrysalis Services in the preceding 12 months (or $0 for free Services).
11. Indemnification
You agree to indemnify and hold harmless Chrysalis AE Inc. from any claims, damages, or liabilities arising from your misuse of the Services or violation of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Wyoming, unless another jurisdiction is required by applicable law.
Any disputes will be resolved under these governing laws.
These Terms govern only the relationship between you and Chrysalis for general platform use.
In enterprise use cases, the governing law defined in an MSA, DPA, or enterprise agreement will control.
13. Dispute Resolution & Arbitration
To the extent permitted by law, any dispute arising from your use of Chrysalis Services will be resolved through binding arbitration on an individual basis.
You and Chrysalis waive any right to participate in class actions or class-wide proceedings.
14. Changes to Terms
We may update these Terms as our Services evolve.
Material changes will be communicated in advance whenever possible.
